TRAILRIDERS SNOWMOBILE CLUB

BYLAWS

 

ARTICLE I

NAME AND PURPOSE

 

Section 1: Name

  This organization shall be known as the Trailriders Snowmobile Club.

 

Section 2: Purpose

  The purpose of the organization is to:

A.        Promote and develop snowmobiling.

B.        To create and maintain a safe system of groomed snowmobile trails.

ARTICLE II

MEMBERSHIP

 

Section 1: Eligibility and Code of Ethics

A.      All persons interested in the development and promotion of snowmobiling shall be eligible to join this club.

B.      This club hereby incorporated the Snowmobile Code of Ethics, attached as Exhibit A.  Any member of this club not adhering to the Code of Ethics can be notified in writing by the Executive Board and disciplined accordingly, including revoking of their membership.     

 

Section 2: Definitions

A.      Primary member:  Any member who is up to date with his/her dues and is at least eighteen years old.

B.      Associate member: Any immediate family member of a primary member who is under the age of eighteen (18).

C.      Commercial member:  Any company who is up to date with his/her dues.

D.      Lifetime member:  Any member who pays a lifetime membership and is at least eighteen (18) years old.

E.      First time member:  Any member who joins the club for the first time. 

F.      In Good Standing:  A member is considered “in good standing” when his/her dues are paid in full.

 

Section 3:  Dues

 

A.      Dues are payable by December 31st of each year.  If dues are not paid within 60 days of the dues date the member is dropped from the roster. New members joining after June 30th:  Dues paid will be for the remainder of that year and the following year.

B.      Commercial memberships are payable by May 31st of each year.  If dues are not paid within 60 days of the due date the commercial member is dropped from the roster. New commercial members joining after November 30th: Dues paid will be for the remainder of that year and the following year.

C.      Life memberships can be paid at any time.

D.      Dues may be approved and or changed by a majority vote of the primary members at the annual meeting.

 

Section 3. Class of members and Voting rights

A.      Each family membership shall be no more than two (2) primary members.

B.      Each life membership shall constitute one primary member.

C.      Each honorary membership shall constitute one primary member.     

D.      Each commercial membership shall constitute one primary member.

E.      An associate member has a voice but no voting rights at any club meeting.

F.      Only primary members may vote.

 

ARTICLE III

OFFICERS AND ELECTIONS

 

Section 1:  Club Officers

  The Officers of this club shall be:

A.      President

B.      Vice President

C.      Secretary

D.      General Fund Treasurer

E.      Winter Fund Treasurer

F.      Two (2) Trustees

G.     Board of Directors

 

Section 2: Eligibility

A.      No member shall be a candidate for or hold more than one (1) of the offices named in Section 1, except when there is a lack of members that will accept nomination.

1.            If the time comes when there are no candidates for an office, the office may be combined with another office. (I.e. General Fund Treasurer and Winter Fund Treasurer or Winter Fund Treasurer and Secretary).  If this should happen, another trustee shall be added to the Club officers to keep the executive board membership with an uneven number, for voting purposes.

B.      No member shall be eligible as an officer unless he or she is a member in good standing.

C.      Candidates for President and Vice President must have attended five (5) of the general meetings in the twelve (12) months prior to their election.

 

Section 3: Election Year and Terms of Office

A.      The President, Secretary and one (1) Trustee shall be elected in the odd number years for a term of two (2) years or until a successor is elected.

B.      The Vice President, General Fund Treasurer, Winter Fund Treasurer and one (1) Trustee are elected in the even numbered years for a term of two (2) years or until a successor is elected.

C.      Newly elected officers shall assume their duties immediately following the October election.

 

Section 4: Nominations and Elections

A.        The nominating committee shall be all of the Trustees.

B.        Nominees for office shall be presented at the September general meeting.

C.        Elections will be held at the October annual meeting.

 

Section 5: Voting

A.      Only primary members may vote for officers.

B.      Voting will be done by secret ballot unless only one candidate is nominated, then the primary members can take a voice vote.

 

Section 6:  Vacancy of Office

A.      In the event of a vacancy on the office of the President, the Vice President shall assume the office and act as President for the unexpired term of the President.

B.      A vacancy in all other offices shall be filled for the remainder of that officer’s term at the next general meeting by a majority vote of the primary members present.

 

ARTICLE IV

DUTIES OF THE OFFICERS

 

Section 1:  President

A.      The President shall be the Chief Executive Officer of the club.

B.      The President shall preside at all club and executive board meetings.

C.      The President shall enforce the provisions of the club’s Articles of Incorporation and Bylaws.

D.      The President shall designate all committees not specifically provided for in these bylaws and appoint its members.

E.      The President shall also perform such duties as may be assigned him/her.

F.      The President shall have the power to sign checks in the absence of the Treasurer.

 

Section 2: Vice-President

A.      The Vice-President shall assist in the discharge of the President’s duties.

B.      In the absence of the President, the Vice-President shall perform all of the duties of the President.

C.      The Vice-President shall be in charge of the grooming operations and shall appoint a grooming coordinator for each of the tractors.

D.      The Vice-President shall have the power to sign checks in the absence of the Treasurer.

 

Section 3: Secretary

The Secretary or designee shall keep and maintain all club records, other than financial, including but not limited to the following:

A.      Minutes of monthly meetings.

B.      Lists of committees and their membership

C.      Club correspondence

D.      Incorporation papers and club bylaws

 

 

 

 

Section 4: General Fund Treasurer

The General Fund Treasurer is responsible for:

A.      All money due the club other than DNR payments.

B.      The payment of bills associated with the General Fund.

C.      The accuracy of the accounts and bank statements of the General Fund and shall at all times have his/her books open and available for examination by the officers and Trustees.

D.      Signing all General Fund checks.  Checks over three hundred dollars ($300) require two (2) signatures of the following officers:  President, Vice-President or the General Fund Treasurer.

E.      Making a written report at each monthly meeting.

 

Section 5: Winter Fund Treasurer

The Winter Fund Treasurer is responsible for:

  1. All DNR grant money and all money designated for the Winter Fund.
  2. The payment of bills associated with the Winter Fund.
  3. The accuracy of the accounts and bank statements of the Winter Fund and shall at all times have his/her books open and available for examination by the officers and trustees.
  4. Signing all Winter Fund checks.  Checks over three hundred dollars ($300) require two (2) signatures of the following officers:  President, Vice-President or the Winter Fund Treasurer.
  5. Making a written report at each monthly meeting.

 

Section 6:  Trustees

A.      The trustees shall be the nominating committee.

B.      The trustees shall audit out going treasurer’s books and report their findings to the general membership.

C.      The trustees shall audit the general fund and winter fund books every October and report their findings to the general membership.

D.      The trustees shall be members of the Executive board.

 

Section 7:  Affairs and Management

A.      The officers of the club shall have general charge and management of the affairs, funds and property of the club, including the purchase, sale and lease of real and personal property and the borrowing of funds and granting of security, after a majority vote of the primary members at a monthly meeting.

B.      It shall be the officers duty to carry out the purpose of the club according to it Articles and bylaws.

C.      Emergency repairs to the tractors and groomer not exceeding $5000.00 may be authorized by the President or Vice-President.  Repairs exceeding $5000.00 must be approved by the executive board.

D.      The purchase, sale or disposal of any real property or personal property, new or used, having a value of One Thousand Dollars ($1000) must be approved by a majority vote of the primary members at a monthly meeting.

Section 8:  Board of director

  1. Members of the Board of directors are temporary agents appointed by the executive board to act in the advisory capacity, serving for a term of 2 years.

 

ARTICLE V

MEETINGS

 

Section 1:  Meeting Dates and Rescheduling

A.      The club will hold a general meeting of the membership the last Saturday of each month.  The annual meeting of the club shall be held in October.

B.      Due to unforeseen circumstances it may become necessary to cancel or reschedule a regular meeting or the clubs Annual meeting.  The quorum will determine if a cancellation or rescheduling of a meeting is necessary and communicate this necessity to the club.  Members shall be given five (5) days notice by e-mail, letter or verbally.

C.      The Executive Board shall present a schedule of monthly meetings and events for the upcoming year at the Annual Meeting.

 

Section 2: Executive Board and Executive Board Meetings

  1. The Executive Board shall consist of all the officers, Trustees and the immediate past President.
  2. The Executive board shall meet at such times as considered necessary by the majority of its members.
  3. A quorum shall exist when there are four (4) officers present.  A quorum shall be present for the Executive Board to conduct business.

 

Section 3:  Quorum

A quorum at any meeting shall exist when there are ten (10) primary members of which three (3) must be officers.

 

 

ARTICLE VI

PARLIAMENTARY AUTHORITY

ORDER OF BUSINESS

 

 

Section 1: Robert’s Rules of Order

All meetings will be run according to Robert’s Rules of Order.

 

Section 2: Order of Business for Club Meetings

A.        Call to order.

B.        Introduce and welcome members.

C.        Minutes of past meeting

D.        General Fund report. Winter Fund report.

E.        Communications.

F.        Report from standing (permanent) committees.

G.       Report from special committees.

H.        Old (unfinished) business.

I.           New business.

J.         Adjournment.

 

ARTICLE VII

CONTRIBUTIONS AND DISSOLUTION

 

Section 1: Contributions

Money in the General Fund may be donated to other charitable organizations upon majority vote of the primary members at a monthly meeting.  The maximum amount per charity shall not exceed Five Hundred Dollars ($500.00) annually.

 

Section 2:  Dissolution and Distribution of Assets

In the event that it becomes necessary that this club be dissolved for reason such as non-participation by its members or lack of funds, the remaining assets, real personal and mixed shall be sold or distributed for one or more exempt purposes within the meaning of section 501 (C) (3) of the Internal Revenue Code or to a State or local Government or other entity for a public purpose.  Dissolution must be approved by a majority vote of the Primary members at two consecutive monthly meetings.

 

ARTICLE VIII

AMENDMENTS

These bylaws may be amended at any regular or annual meeting.  The proposed amendment must be submitted in writing and read at two (2) consecutive meetings

The proposed amendment can be passed by a two-third majority vote of the primary members present at the second meeting they are read.  Passed amendments shall become effective immediately and incorporated into the bylaws by the secretary at the earliest possible convenience.
